Terms and Conditions
Version 2.0. Last updated 6 October 2026.
Summary
These terms cover using our website (Part A) and buying our services (Part B). Your quote says what we will do and what it costs, and these terms cover the rest. Nothing in these terms takes away your rights under the Australian Consumer Law.
1. Who we are
MaxBiz.co Pty Ltd (ABN 42 677 044 594), trading as MaxBiz, 1a Coburg St, Coburg VIC 3058 ("we", "us"). Email info@maxbiz.co, phone 03 8692 4716.
Part A — Using our website
2. Using the site
You may use our website to learn about our services and to contact us. Please don't try to hack it, overload it, or copy it in bulk.
3. Our content
We own the text, images and logos on our site, or we have permission to use them. You may share links and quote short extracts with credit. Please ask us before copying more.
4. What you send us
When you send us information through our website (for example your website address for a free snapshot), you allow us to use it to reply to you and provide what you asked for. Our Privacy Policy explains how we handle personal information.
5. Information on our site
We write our pages carefully, but they give general information, not advice for your business. Prices on our site are in Australian dollars and exclude GST unless we say otherwise.
Part B — Our services
6. How we agree
For each piece of work we send you a written quote or proposal (a "quote"). A contract starts when you accept the quote in writing (email or online) or pay the deposit. The contract is made up of the quote and these terms. If the two conflict, the quote applies.
7. What we do
We do the work described in the quote with due care and skill. We finish it by the date in the quote or, if there is no date, within a reasonable time. If something will be late, we tell you early.
8. What we don't promise
Nobody controls Google, Meta or AI answer engines. We don't promise particular rankings, traffic, reviews, leads or AI mentions. We do promise to do the agreed work properly and to report results against a dated baseline. This clause doesn't limit your rights under the Australian Consumer Law.
9. What you do
Give us accurate information, and the access and content we need, when we need it. Make sure you have the right to use anything you give us, such as logos, photos, text and customer data. If you are late giving us something, our dates move by the same amount of time.
10. Prices and payment
Prices are set out in the quote and exclude GST. For Foundations and website builds, we invoice 50% to start and the balance on completion, unless the quote says otherwise. Upkeep and other monthly services are invoiced monthly in advance. Invoices are due within 14 days. You pay third-party costs (such as domains, hosting, software subscriptions and ad spend), either directly or at cost through us, as the quote says.
11. Late payment
If an invoice is overdue, we remind you in writing. We may charge simple interest on the overdue amount at 10% a year from the due date, but not on any amount you dispute in good faith. We may also pause new work until the invoice is paid.
12. Suspending hosted or managed services
If an invoice is more than 21 days overdue, we may suspend services we host or manage for you (for example your website, AI receptionist or automations). Before we do, we give you at least 7 days' written notice that says what will be suspended, when, and how to fix it. We won't suspend while you dispute the invoice in good faith and are working with us to resolve it. We never delete your website, data or content because of non-payment. Once you pay, we restore the services within one business day. You can ask for a copy of your content and data at any time.
13. Your accounts and handover
Your domain, Google Business Profile, analytics and ad accounts should be in your name. We ask for access to them, not ownership. We never withhold access to your own accounts or data. When our work ends, we return any access you gave us and hand over the deliverables you have paid for.
14. Who owns the work
Once you have paid for a stage, you own the deliverables we made specifically for you in that stage, such as pages, copy, designs and configurations. There are two exceptions. (a) Our own tools, templates, code, know-how and methods stay ours, and we give you a free, permanent licence to use them in your business as part of the deliverables. (b) Third-party items, such as themes, plugins, fonts, stock images and software, are covered by their own licences. We may show the work in our portfolio unless you ask us not to.
15. AI-assisted work
We use AI tools to help us research, draft and build. A person checks the output before it reaches you. AI-assisted material can be similar to material produced for others, and we can't promise that it is protected by copyright. We won't knowingly copy anyone else's work.
16. AI receptionist and call handling
If we set up an AI receptionist or call tool for you: (a) at the start of each call, it tells callers that they are speaking with an AI assistant, and that the call is recorded and transcribed; (b) you are responsible for your own privacy policy and for telling your customers how you use their information; (c) we handle caller information only to provide the service, on your behalf; and (d) before going live, we agree with you in writing what information it collects, where that information is stored, and who can see it. It never gives medical, legal or financial advice, and urgent calls go to a person.
17. Third-party platforms and hosting
Our work relies on third-party platforms, such as hosting providers, Google, Meta, and booking and phone systems. We choose reputable providers and set them up with care, but we don't control them. We aren't responsible for their outages or changes, except to the extent that we caused the problem or failed to take due care.
18. Confidentiality
Each of us will keep the other's confidential information private and use it only for the work. This doesn't apply to information that is already public or that the law requires us to disclose. The obligation lasts for as long as the information stays confidential.
19. Changes to the work
Either of us can ask to change the scope. We agree in writing (email is fine) on any change and its price before we do the changed work.
20. Ending the contract
Either of us can end Upkeep or another monthly service by giving one month's written notice. You can cancel a one-off stage at any time by telling us in writing. If you do, you pay for the work done up to then and for any third-party costs we can't recover, and we refund any prepaid amount for work not done. Either of us can end the contract immediately by written notice if the other seriously breaches it and doesn't fix the breach within 14 days of being asked.
21. Full Fix Plan and refunds
The Full Fix Plan ($149 plus GST) is a written roadmap plus a 20-minute call. If you hire us for Foundations within 30 days of receiving the plan, we deduct the $149 from the Foundations price. Apart from your rights under the Australian Consumer Law (see clause 23), we don't refund fees for work delivered as agreed. Not getting a result we didn't promise (see clause 8) is not, on its own, grounds for a refund.
22. Price changes
We may change the price of a monthly service by giving you at least 30 days' written notice. If you don't accept the new price, you can end the service before the change takes effect, with no exit fee. The price in an accepted quote for a one-off stage doesn't change.
23. Your Consumer Law rights
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:
- to cancel your service contract with us; and
- to a refund for the unused portion, or to compensation for its reduced value.
You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.
Nothing in these terms excludes, restricts or modifies those rights.
24. Limits on liability
To the extent the law allows: (a) if our services are not of a kind ordinarily acquired for personal, domestic or household use, our liability for failing to meet a consumer guarantee is limited to supplying the services again or paying the cost of having them supplied again; (b) otherwise, each party's total liability to the other under or in connection with a contract is limited to the fees paid under that contract in the 12 months before the claim; and (c) neither of us is liable to the other for loss of profit or revenue, or for other indirect loss. This clause doesn't limit liability for fraud, wilful misconduct, personal injury, a breach of confidentiality or privacy, or any right you have under the Australian Consumer Law that cannot be limited.
25. Protection against third-party claims
You will cover us for third-party claims caused by content or data you gave us (for example a photo you didn't have the right to use) or by your breach of the law. We will cover you for third-party claims that work we created for you (not your content and not third-party items) infringes someone's intellectual property. In each case, the amount reduces to the extent that the other party caused the loss.
26. Disputes
If there is a problem, tell us in writing. We will both try in good faith to resolve it within 14 days, including by talking it through. This doesn't stop either of us from going to a court or tribunal, or from seeking urgent orders.
27. Governing law
The law of Victoria, Australia, applies. Either of us may bring proceedings in the courts and tribunals of Victoria or in any other court with jurisdiction.
28. Changes to these terms
We may update these terms for future contracts. An update doesn't apply to a contract you have already accepted unless you agree in writing. For a monthly service, we give you at least 30 days' written notice of any change. If you don't agree to the change, you can end the service before it takes effect, with no exit fee.
29. General
If a court finds part of these terms invalid, the rest still applies. We may use subcontractors, but we remain responsible for their work. Neither of us may transfer the contract without the other's consent, which won't be unreasonably refused. Notices may be given by email.
